Terms & Conditions

The legal terms governing your use of CBAM Proof

Important — please read carefully. By accessing cbamproof.co.uk, submitting data, or purchasing any service, you agree to these Terms. These Terms apply to business customers only. The Platform and Services are provided for use by businesses in the course of their trade, business, craft or profession. They are not offered to consumers, and nothing in these Terms confers any right or protection available under the Consumer Rights Act 2015 or other UK consumer protection legislation.

3.1Definitions

  • "We / Us / Our" — Archimedes Lever Ltd (trading as CBAM Proof), Co. 16859569
  • "Platform" — cbamproof.co.uk and all associated tools, calculators, reports and services
  • "Calculator" — the free CBAM liability estimation tool
  • "Readiness Audit" — the paid supplier risk and data gap assessment service (£2,500)
  • "Retainer" — the ongoing monthly compliance support service (£1,250 per month)
  • "CBAM" — the UK Carbon Border Adjustment Mechanism introduced by the Finance Act 2026
  • "Verified Facility Data Service" — the managed supplier documentation service (£1,500 fixed fee) through which CBAM Proof works directly with a client's named overseas suppliers to collect production route, emissions intensity and precursor data, structures it to UK CBAM's direct-emissions boundary, and delivers a structured data pack ready for independent GACI-accredited verification
  • "Commenced" — in relation to any Service, the point at which CBAM Proof begins substantive work on your engagement following receipt of your instruction and (where applicable) payment, evidenced by written confirmation from CBAM Proof that work has started. For the Readiness Audit, this means the point at which analysis of your supplied data begins. For the Verified Facility Data Service, this means the point at which supplier contact is first initiated.

3.2The free calculator — scope and limitations

Critical disclaimer — estimates only. The calculator generates estimates based on HMRC default emission factors and publicly available carbon pricing data. These do not constitute your actual CBAM liability, which is determined by HMRC. We do not accept liability for financial decisions made in reliance on calculator outputs.
  • Uses HMRC default emission factors where facility-specific verified data is not provided
  • Carbon prices updated quarterly and may not reflect real-time market prices
  • Emissions intensity displayed to five decimal places per Regulation 5(1) Step 7
  • Does not constitute legal advice, tax advice, or a CBAM return

3.3Paid services

Readiness Audit (£2,500)

  • Delivered within 48 hours of receipt of all required information
  • Includes: full supply chain liability analysis, Central and Stressed scenario modelling built on Finance Act 2026, CPR eligibility assessment and supplier documentation roadmap, and 4-step implementation plan
  • Does not include CBAM return preparation or legal representation
  • Non-refundable once engagement has commenced (see definition of "Commenced" at clause 3.1)

Verified Facility Data Service (£1,500 fixed fee)

  • Covers up to five named overseas supplier relationships per engagement — additional suppliers charged at £250 per supplier
  • Includes: direct engagement with named suppliers to collect production route, emissions intensity, and precursor data; structuring that data to UK CBAM's direct (Scope 1) emissions boundary rather than the broader boundary used by EU CBAM or general sustainability reporting; mapping to the correct CN codes for the client's actual imports; and a clear written assessment of what's genuinely verification-ready versus what still requires independent GACI-accredited sign-off
  • Where a supplier already holds EU CBAM or other carbon data, CBAM Proof assesses what carries across directly and rebuilds only what's genuinely missing for the UK-specific standard
  • Supplier response is outside CBAM Proof's control — lead times are typically 8–12 weeks; CBAM Proof will chase non-responding suppliers at 30-day intervals for up to 90 days from instruction
  • Does not include GACI-accredited independent verification itself — CBAM Proof organises and structures supplier data; a separate accredited verifier is required before the data can be relied upon for an HMRC return (Reg. 12)
  • Payment: 100% upon instruction; non-refundable once supplier contact has been initiated (see definition of "Commenced" at clause 3.1)
  • Delivery timeline commences from the date all required supplier and import details are received by CBAM Proof in writing

Monthly Retainer (£1,250 per month)

  • Minimum 3-month initial term; monthly rolling thereafter with 30 days written notice to cancel
  • Includes: ongoing liability monitoring, carbon price updates, regulatory change alerts, quarterly review call, and one structured return preparation session per year ahead of the 31 May filing deadline
  • Does not include legal advice, tax advice, or HMRC representation — submission to HMRC remains your responsibility
  • Invoiced monthly in advance — pricing adjustable with 60 days notice

3.4Regulatory compliance disclaimer

CBAM Proof is a compliance preparation and monitoring tool — not a tax adviser, legal adviser, or HMRC-authorised agent. Verification of emissions data must be performed by an independent verifier accredited by a GACI member body (Regulation 12). No approved list of UK CBAM accredited verifiers has been published at the date of these Terms — HMRC will issue a notice specifying accreditation standards under Reg. 12(1)(e). CBAM Proof prepares documentation — we do not replace the statutory independent verification requirement.

Clients should be aware that non-compliance with UK CBAM obligations carries criminal as well as financial exposure. Schedule 18 of the Finance Act 2026 creates criminal offences in connection with CBAM, including offences relating to false statements and evasion of the charge. CBAM Proof's services are designed to support accurate and timely compliance — they do not constitute legal advice on criminal liability.

3.5Intellectual property

  • All content, calculations, software, reports and methodologies are owned by Archimedes Lever Ltd
  • Your compliance data and import information remain your property
  • Reports may be used for internal compliance purposes only — not resold or redistributed

3.6Limitation of liability

  • We exclude all liability for indirect, consequential, or speculative losses
  • Total liability shall not exceed fees paid in the 12 months preceding the claim
  • We do not exclude liability for death, personal injury caused by negligence, or fraud
  • We are not liable for HMRC penalties or regulatory consequences arising from your CBAM compliance

3.7Acceptable use

  • Do not submit false or misleading data
  • Do not attempt to reverse-engineer or copy the Platform's calculation methodology
  • Do not use the Platform for any unlawful purpose

3.8Governing law

These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
